Serbian Finance Minister Sinisa Mali announced on October 21 that an agreement had been signed to sell the Russian stake in oil company NIS to Hungary's MOL. However, the Hungarian company subsequently stated that there had been no material developments in the negotiations requiring disclosure to investors.
The conflicting statements do not establish that the ownership transfer has been completed.
NIS is one of Serbia's largest energy companies. Russian shareholders own a substantial stake, and its future ownership structure is important to the country's oil refining industry and fuel supplies.
Negotiations over the sale are taking place amid US sanctions affecting Russia's presence in Serbia's energy sector.
Mali portrayed the arrangements as an important step toward changing NIS's ownership structure. MOL's statement, however, indicates that the legal status of the arrangements and the stage of their implementation require clarification.
Completing the transaction would require additional approvals, including decisions by the relevant regulatory authorities.
Until the parties provide consistent information confirming completion, it would be premature to conclude that MOL has acquired the Russian stake or taken control of the relevant shares.
The established development is therefore a series of new and materially conflicting statements by participants in the negotiations.
